Please read these Terms of Service carefully before using Spectra. By creating an account or using any Spectra product, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Spectra is an AI-powered software platform offering four distinct products:
**Spectra Forge** — A free viability analysis tool that evaluates software ideas using AI scoring across market fit, technical feasibility, monetization potential, and competitive landscape. Forge is provided at no cost and is intended for informational purposes only.
**Spectra Architect** — A paid AI architecture analysis service that produces professional software architecture documents, system diagrams, and technical specifications based on customer-submitted project briefs. Output is delivered as PDF, Markdown, and interactive deliverables.
**Spectra Build** — A paid AI-driven application development service that generates production-quality source code, deploys applications to cloud infrastructure, and delivers a working software product based on customer specifications.
**Spectra Deploy** — A paid managed hosting subscription service that provides cloud infrastructure, monitoring, security patching, backups, and ongoing technical support for applications built on or migrated to the Spectra platform.
Collectively these products are referred to in these Terms as the "Services." Spectra is operated by Studio Tim ("Company," "we," "us," or "our").
Age requirement. You must be at least 18 years of age to create an account or use any paid Service. By registering, you represent and warrant that you are 18 or older.
Accurate information. You agree to provide accurate, current, and complete information during registration and to keep that information updated. Accounts created with false information may be terminated without notice.
Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@spectra.app if you suspect unauthorized access.
One account per entity. Individual users may hold one account. Organizations may hold one account per legal entity. Creating multiple accounts to circumvent limits, pricing, or restrictions is prohibited.
Business accounts. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
Illegal activity. Use the Services to generate, transmit, store, or facilitate any content or software that violates applicable law, including but not limited to intellectual property law, export control law, privacy law, or criminal law.
Harmful content. Submit project briefs, data, or instructions that are designed to produce malware, spyware, ransomware, phishing tools, or any other software intended to harm, deceive, or exploit users.
Scraping and automated access. Scrape, crawl, or use automated tools to extract data from the Spectra platform, reverse-engineer our AI pipelines, or systematically download deliverables at scale without prior written authorization.
Abuse of the platform. Attempt to circumvent rate limits, access controls, or billing systems. Probe, scan, or test the vulnerability of our systems without authorization.
Misrepresentation. Claim that AI-generated deliverables were produced entirely by human professionals without disclosing the use of AI, in contexts where such disclosure is legally or professionally required.
Resale without authorization. Resell or sublicense access to the Services themselves (as opposed to deliverables you own) without a written reseller agreement with Spectra.
Violation of this policy may result in immediate account suspension or termination, at our sole discretion, with or without notice.
Currency. All prices are listed and charged in United States Dollars (USD).
Payment processor. Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. Spectra does not store your full payment card details.
When charges occur. For on-demand services (Architect, Build, Forge), your payment method is charged at the time of purchase. For subscription services (Deploy, Architect Partner), your payment method is charged at the start of each billing period.
Non-refundable after pipeline start. For Architect and Build services, once your submitted project brief enters the AI processing pipeline, associated AI computation costs are immediately incurred. At that point the service is considered rendered and no refund is available, except as described in our Refund Policy. See spectra.app/refund for details.
Subscription auto-renewal. Deploy and Architect Partner subscriptions renew automatically at the end of each billing period. You may cancel at any time through your account dashboard. Cancellation takes effect at the end of the current paid period; no prorated refunds are issued for unused time.
Failed payments. If a payment fails, we will attempt to retry the charge. If the payment remains uncollected after three attempts, your subscription may be suspended until payment is resolved.
Taxes. Prices do not include applicable sales tax, VAT, GST, or other taxes. You are responsible for any taxes applicable to your purchase based on your jurisdiction.
Price changes. We may change our prices at any time. For active subscriptions, we will provide at least 30 days' advance notice of any price increase. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new price.
Customer ownership of deliverables. Subject to full payment and compliance with these Terms, you own all right, title, and interest in the output deliverables Spectra generates for you — including architecture documents, source code, diagrams, and written content specific to your project. You may use, modify, distribute, and commercialize your deliverables without restriction.
License to submit content. By submitting project briefs, descriptions, data, or other content to Spectra ("Customer Content"), you grant us a limited, non-exclusive license to use that content solely to provide the Services to you. We do not use your specific Customer Content to train our AI models or share it with other customers.
Spectra platform IP. Spectra retains all rights to its platform, infrastructure, AI pipelines, prompt systems, agent architecture, analysis frameworks, user interface, and all underlying technology. Nothing in these Terms transfers any platform IP to you.
Open source components. Generated source code may include open-source libraries subject to their respective licenses (MIT, Apache 2.0, etc.). You are responsible for complying with those licenses when distributing your application.
Feedback. If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation to you.
AI outputs require human review. All architecture documents, source code, diagrams, viability scores, and other deliverables produced by Spectra are generated by artificial intelligence systems. AI-generated outputs can contain errors, omissions, outdated information, security vulnerabilities, or factual inaccuracies.
Customer responsibility. You are solely responsible for reviewing, testing, validating, and verifying all deliverables before relying on them for any purpose — including before deploying code to production, presenting architecture documents to stakeholders, or making business decisions based on viability analysis.
No professional certification. Spectra does not provide licensed engineering, legal, financial, or medical advice. Architecture documents are analytical aids, not certified engineering designs. Forge scores are informational estimates, not investment advice.
Security review required. Generated source code has been passed through Spectra's automated security scanning tools, but automated scanning does not catch all vulnerabilities. You should conduct your own security review or engage a qualified security professional before deploying any application to production.
AI model limitations. The AI models used by Spectra have knowledge cutoffs and may not reflect the latest security advisories, library updates, or best practices. Technical recommendations should be verified against current documentation.
"As is" provision. The Services and all deliverables are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
No warranty on production readiness. Spectra does not warrant that generated code is free from defects, security vulnerabilities, or errors, or that it is suitable for deployment to production without independent review by a qualified engineer.
Cap on liability. To the maximum extent permitted by applicable law, Spectra's total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the amount you paid to Spectra in the twelve (12) months preceding the claim.
Exclusion of consequential damages. In no event shall Spectra be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, even if we have been advised of the possibility of such damages.
Essential basis of the bargain. The limitations and exclusions above reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Spectra. These limitations apply to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
No guaranteed uptime. Spectra does not guarantee any specific level of service availability or uptime. We strive for high availability but the Services may be interrupted for maintenance, upgrades, security incidents, or reasons beyond our control.
Maintenance windows. We may perform scheduled maintenance that temporarily makes the Services unavailable. Where possible, we will provide advance notice via the platform dashboard or registered email address.
No SLA unless contracted. Unless you have a separate written Service Level Agreement with Spectra, no uptime SLA applies. Deploy Premium subscribers receive priority incident response, but this does not constitute a guaranteed uptime commitment.
Force majeure. Spectra is not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or failures of third-party infrastructure providers.
Termination by you. You may terminate your account at any time by contacting support@spectra.app or using the account deletion feature in your dashboard. Termination of a subscription takes effect at the end of the current billing period.
Termination by Spectra. We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for immediate termination include: violation of the Acceptable Use Policy, fraudulent activity, non-payment, or conduct that poses a security risk to the platform or other users.
Effect of termination. Upon termination, your right to access the Services ceases immediately. Deliverables you have already received and paid for remain your property.
Data retention. Following account termination, we will retain your account data (project history, deliverables, billing records) for 30 days. During this window you may request an export. After 30 days, your data is deleted from active systems, subject to retention obligations described in our Privacy Policy (e.g., billing records retained 7 years per tax law).
Survival. The following sections survive termination: Intellectual Property, Limitation of Liability, Governing Law, and any payment obligations that accrued before termination.
Governing law. These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
Venue. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Orange County, Florida. You consent to the personal jurisdiction of those courts.
Informal resolution. Before initiating any formal legal proceeding, you agree to contact us at legal@spectra.app and attempt to resolve the dispute informally for at least 30 days.
Waiver of class action. To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Spectra.
We may modify these Terms at any time. When we make material changes, we will:
- Post the updated Terms on this page with a new effective date - Send notice to your registered email address at least 30 days before the changes take effect - Display a notice in the platform dashboard
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and may terminate your account.
Minor changes (such as corrections of typographical errors or clarifications that do not affect your rights) may be made without notice.
